Who This Agreement Applies To
This Vendor & Service Provider Agreement ("Vendor Agreement") applies to every business, shop, freelancer, or skilled professional ("Vendor") who registers to list products or services on the Threelok platform. By completing seller registration — including submitting verification documents and accepting consent checkboxes — you agree to this Vendor Agreement in full.
This Agreement supplements the Terms of Service and Privacy Policy. In any conflict, the Vendor Agreement prevails for vendor-specific matters.

Registration, Verification & KYC
All Vendors must complete identity and business verification before going live on the platform. This is required by Nepal's Asset (Money) Laundering Prevention Act, 2008 and Threelok's commitment to a trusted marketplace.
Required Information
- Legal business name (as registered, or trading name for sole traders)
- Business registration number (once registered)
- PAN number (once obtained)
- Business address and city
- Contact phone number
Required Documents
- PAN card — clear front photo (JPG, PNG, or PDF, max 5 MB)
- Citizenship certificate or valid ID — of the owner or authorised representative
- Business registration certificate (optional now, required once registered)
Document use: All documents are used exclusively for identity verification, fraud prevention, and legal compliance. They are never used for marketing or shared with third parties except as required by law. See our Privacy Policy.
Explicit Consent Requirement
At registration, you must check both consent boxes confirming:
- That all information and documents provided are accurate and genuine
- That you explicitly consent to your documents being collected, stored, and processed for verification, fraud prevention, and legal compliance as described in the Privacy Policy
Submitting fake, altered, or misleading documents is a serious violation and will result in immediate suspension and may be reported to relevant authorities.

Listing Standards & Conduct
Vendors are responsible for the quality and accuracy of their listings at all times:
- Descriptions, prices, and images must be accurate and up-to-date
- Vendors must honour all confirmed orders at the listed price — no price changes after order confirmation
- Products and services must comply with all applicable Nepali laws and regulations
- Prohibited listings include: counterfeit goods, illegal substances, weapons, prescription medicines without proper licence, adult-only content, and anything banned under Nepali law
- Images must be of the actual product or service — stock images representing different quality are not permitted
- Vendors must clearly disclose any limitations, restrictions, or prerequisites for their products/services

Order Fulfilment & Cancellations
- Vendors must confirm or reject an order within 24 hours of placement
- Confirmed orders must be fulfilled within the stated delivery/service timeframe
- Repeated cancellations after acceptance may result in listing suspension or removal
- Vendors must communicate any delays promptly through the platform messaging system
- If a Vendor cannot fulfil an order, they must cancel promptly so the Customer receives an immediate refund
- Vendors are responsible for packaging, delivery accuracy, and service quality

Payments, Fees & Withdrawals
- Threelok collects payment from Customers on behalf of Vendors and remits funds after deducting the platform fee
- The current platform fee will be communicated to Vendors at registration and may be updated with 30 days' notice
- Funds are held until the Customer's order is marked as delivered/completed
- Withdrawals require completed KYC verification — unverified accounts cannot withdraw funds
- Threelok complies with NRB regulations for payment service providers
- Vendors must provide accurate bank account details; Threelok is not liable for payments sent to incorrect accounts provided by the Vendor

Reviews, Ratings & Reputation
- Vendors must not offer incentives (discounts, gifts, refunds) in exchange for positive reviews
- Vendors must not post fake reviews for their own or competitors' listings
- Vendors may flag reviews they believe are fraudulent or violate guidelines — Threelok will investigate
- Maintaining a good rating is required to stay listed — accounts falling below a threshold may be suspended pending review
- Threatening or harassing a Customer who left a negative review is a violation of this Agreement

Your Data Obligations as a Vendor
As a Vendor on Threelok, you receive certain Customer data (name, delivery address, phone number) to fulfil orders. You agree to:
- Use Customer data only for the purpose of fulfilling the specific order
- Not store Customer data beyond what is required for the transaction
- Not contact Customers for marketing or solicitation outside of the Threelok platform
- Not sell, share, or transfer Customer data to any third party
- Implement reasonable security measures to protect any Customer data you receive
- Comply with Nepal's Individual Privacy Act, 2075 in all data handling

Keeping Your Information Updated
- Vendors must update their business details (address, phone, category, hours) whenever they change
- Updated registration and PAN documents must be submitted once obtained
- Threelok may request re-verification at any time — failure to comply within 14 days may result in listing suspension
- Vendors must notify Threelok of any material change to ownership or business structure

Suspension & Termination
Threelok may suspend or permanently terminate a Vendor account for:
- Submitting false, altered, or stolen identity documents
- Repeated failure to fulfil orders without valid reason
- Customer fraud, chargebacks, or financial misconduct
- Violations of listing standards (illegal goods, fake descriptions)
- Violation of Customer data privacy obligations
- Any activity that brings Threelok into disrepute
Terminated Vendors may appeal the decision by emailing contactthreelok@gmail.com within 14 days. Threelok's decision after review is final.
